Crucial Requirement: AstraBase is a startup directory and matching platform. We do not provide financial advisory, legal representation, or brokerage services. All transactions and agreements made outside the platform are strictly between the negotiating parties.
1. Acceptance of Terms
By registering for an account, accessing any workspace, or using the AstraBase platform, you ("User", "you", "Founder", "Investor", "Partner") agree to comply with these Terms & Conditions and all applicable laws and regulations. If you do not agree to these terms, you are prohibited from using the platform and must immediately deactivate your account.
2. Eligibility & Verification
The platform is intended solely for businesses, founders, qualified investors, and verified agencies/partners. To access certain gated components (such as investor portfolios or partner leads), you must undergo verification by our moderation team. We reserve the right to deny verification or terminate any workspace account at our sole discretion, without reason or recourse.
3. User Conduct
All users agree to conduct themselves professionally and truthfully on the platform. You represent that:
- All information provided regarding your startup, fundraising status, certifications, or services is complete and accurate.
- You will not misrepresent your association with any startup, venture capital fund, or service agency.
- You will not scrape, harvest, or extract platform listings or user directories using automated bots, crawlers, or scripting tools.
- You will not send spam, phishing links, or unrequested solicitations to other members.
4. Marketplace Listings
Founders may create startup profiles to showcase their products in the public marketplace. You retain ownership of all copyright and intellectual property relating to your listings. However, by publishing a listing, you grant us a worldwide, non-exclusive, royalty-free license to distribute, index, format, and display your startup profile on our directories and marketing channels.
5. Third-Party Public Information, Unclaimed Profiles & No Affiliation
AstraBase may display editorial references, public directory entries, or unclaimed public profiles for third-party companies, products, services, investors, partners, or other entities based on publicly available information. Such entries are provided solely for public discovery, informational viewing, market research, and editorial context.
Unless a listing is expressly marked as claimed, verified, sponsored, or submitted by the relevant owner, no third-party entry should be understood as being created, approved, endorsed, sponsored, partnered with, or authorized by that company or entity. VeloAstra and AstraBase are independent from such third parties and do not represent that any third-party company has any commercial, legal, investment, agency, employment, partnership, or endorsement relationship with VeloAstra or AstraBase.
Company names, product names, logos, trademarks, screenshots, or other identifiers, where referenced, belong to their respective owners and are used only for identification, attribution, nominative reference, or public-information context. We do not claim ownership over third-party intellectual property.
Public third-party entries may be incomplete, inaccurate, outdated, automatically generated, editorially summarized, or based on public sources. Users must independently verify all information with the relevant company or official source before relying on it, contacting a third party, entering into any engagement, making an investment decision, or purchasing services.
Any company or authorized representative may contact us to request correction, attribution changes, claim review, removal, or updates to a public third-party entry. We may edit, label, hide, or remove any entry at our discretion.
6. Fundraising & Gating Rules
The fundraising module allows founders to share details of active funding rounds with verified investors. In using this feature, you acknowledge that:
- No Public Solicitation: Gated fundraising details are only shared with authorized investors. You must ensure your listing does not constitute general solicitation under SEC Regulation D or comparable regional regulations.
- Vetting Responsibility: We do not verify the financial status or accreditation of investors beyond basic business profile checking. Founders must perform their own diligence before accepting funds.
- Cap Tables & Decks: Uploaded materials are gated, but VeloAstra does not guarantee absolute safety against leaks by third-party investors.
7. Ecosystem Partnerships
AstraBase acts solely as a matchmaking platform to connect founders with service partners (e.g. software development agencies, legal advisors). We do not guarantee the quality, safety, legality, or success of any service engagement. Any service level agreements (SLAs), payments, or disputes are governed strictly by the private contracts executed between the founder and the partner.
8. Fees & Billing
Access to the basic platform is free. Premium advertising, listing promotions, and advanced workspace analytics are subject to the fees listed on the corresponding checkout pages. All subscription fees and promotion charges are billed in advance and are non-refundable. We reserve the right to modify pricing schedules at any time with prior notice.
9. Disclaimers & Limitation of Liability
AstraBase is provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including fitness for a particular purpose or non-infringement. In no event shall VeloAstra, its directors, or its affiliates be liable for any direct, indirect, incidental, or consequential damages (including lost profits, lost investment capital, or service failures) arising from your use of the platform.
VeloAstra and AstraBase are not responsible for any interaction, communication, negotiation, introduction, service engagement, transaction, investment, fundraising discussion, partnership, contract, payment, commitment, deliverable, representation, omission, dispute, loss, damage, regulatory issue, or claim arising between users or between a user and any third-party company, investor, partner, service provider, or other entity discovered through the platform. All such engagements are entered into independently and at the sole risk of the participating parties.
No listing, profile, ranking, search result, article, newsletter, email, featured placement, recommendation, or other platform surface constitutes legal, tax, investment, financial, technical, commercial, procurement, or professional advice, nor does it create any agency, fiduciary, broker, employment, partnership, joint venture, representative, or advisory relationship involving VeloAstra or AstraBase.
10. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of Gurugram, Haryana, India, without giving effect to any principles of conflicts of law. You agree that any legal action or proceeding arising out of these terms shall be filed solely in the competent courts of Gurugram, Haryana, India.
